These Terms of Use ("Terms") apply to your use of kodavara.com (the "Site"), which is operated by Kodavara LLC ("Kodavara", "we", "us"). By using the Site you agree to these Terms. If you do not agree, please do not use the Site.

1. Our Services and Apps

The Site describes our consulting, strategy, implementation and automation services and links to our software apps. Consulting and custom work is provided under a separate written agreement. Each Kodavara app, including Render, DataFlow and Workbench, has its own terms of service and privacy policy on its own website, and those terms govern your use of that app.

2. Using the Site

You may use the Site for lawful purposes only. You agree not to interfere with or disrupt the Site, attempt to gain unauthorized access to it or its systems, use automated means to copy or overload it, or submit content that is unlawful, harmful or infringes the rights of others.

3. General Information Only

The content on the Site, including industry pages, examples, diagrams and sample data, is general information provided to describe our work. Examples are illustrative and are not a promise of specific results. Nothing on the Site is legal, financial, medical, security, regulatory or compliance advice. Requirements differ by organization, industry and location, and you should take advice from qualified professionals for your situation.

4. Intellectual Property

The Site, its text, design, graphics, logos and software are owned by Kodavara or its licensors and are protected by intellectual property laws. You may view and share links to the Site for your own business purposes. You may not copy, modify, distribute or create derivative works from the Site without our written permission.

Kodavara, Render, DataFlow, Workbench and related names and logos are marks of Kodavara. Other product and company names, including ClickUp and its logo, are trademarks of their respective owners. Kodavara is a ClickUp Partner. References to other companies or products do not imply endorsement of Kodavara beyond what is stated.

5. Messages and Feedback

If you contact us through the Site, you agree that the information you provide is accurate and that we may use it to respond to you and to improve our services, as described in our Privacy Policy. Please do not send passwords, payment card numbers, health information or other sensitive personal data through the contact form. Any feedback or ideas you share may be used by us without obligation to you.

6. Third-Party Sites and Services

The Site may link to websites and services that we do not control. We are not responsible for their content, availability or practices, and your use of them is at your own risk and subject to their terms.

7. Disclaimers

The Site is provided "as is" and "as available" without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, accuracy and non-infringement. We do not warrant that the Site will be uninterrupted, secure or free of errors.

8. Limitation of Liability

To the fullest extent permitted by law, Kodavara and its owners, employees and contractors will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data or goodwill, arising from or related to your use of the Site. Our total liability for any claim relating to the Site will not exceed one hundred US dollars. Nothing in these Terms limits liability that cannot be limited by law.

9. Indemnification

You agree to indemnify and hold Kodavara harmless from claims, losses and expenses, including reasonable legal fees, arising from your misuse of the Site or your breach of these Terms.

10. Changes

We may change the Site or these Terms from time to time. Changes take effect when posted, and the date above shows when these Terms were last updated. Continuing to use the Site after a change means you accept the updated Terms.

11. Governing Law

These Terms are governed by the laws of the jurisdiction in which Kodavara LLC is organized, without regard to conflict of law rules. Any dispute arising from these Terms or the Site will be brought in the courts located in that jurisdiction, unless a separate written agreement with you says otherwise.
